ZATCA Phase 1 & Phase 2

Welcome to Blesslife ltd. These Terms & Conditions ("Terms") govern the use of our cloud-based ERP, POS, Inventory Management, Accounting, VAT, and ZATCA E-Invoicing Software ("Software" or "Service"). By creating an account, subscribing, or using our services, you agree to comply with these Terms.

01 Definitions

Company Blesslife Ltd.
Customer means any individual or business using our software.
Software refers to the cloud ERP, POS, Inventory, Accounting, Payroll, CRM, and E-Invoicing platform.
ZATCA means the Zakat, Tax and Customs Authority of the Kingdom of Saudi Arabia.
Subscription means the selected paid or free software plan.

02 Acceptance of Terms

By accessing or using our Software, you agree to:

  • Comply with all applicable Saudi Arabian laws.
  • Follow ZATCA regulations.
  • Keep your login credentials secure.
  • Provide accurate business information.

Our cloud platform may include:

  • ERP
  • POS Billing
  • Inventory Management
  • Accounting
  • VAT Management
  • Purchase & Sales
  • Customer & Supplier Management
  • Financial Reports
  • Multi-Branch
  • Multi-User
  • ZATCA Phase 1 Compliance
  • ZATCA Phase 2 Integration

Service availability depends on your subscription plan.

04 ZATCA Compliance

Our software is designed to support ZATCA E-Invoicing requirements.

Phase 1 (Generation Phase)

  • Electronic invoice generation
  • QR Code generation
  • VAT compliant invoices
  • Secure invoice storage
  • Credit & Debit Notes

Phase 2 (Integration Phase)

  • Integration with ZATCA Fatoora Platform
  • XML invoice generation
  • Invoice clearance/reporting
  • Cryptographic stamping
  • Digital signatures
  • UUID generation
  • Invoice hash generation
  • API communication with ZATCA

Phase 2 applies only after proper onboarding, certificate setup, and successful integration with ZATCA. Businesses are notified by ZATCA in implementation waves.

05 Customer Responsibilities

The Customer is responsible for:

  • Maintaining a valid VAT Registration (if applicable).
  • Providing correct company information.
  • Keeping accounting records accurate.
  • Maintaining internet connectivity.
  • Protecting user accounts and passwords.
  • Using the software lawfully.

Incorrect business information may result in invoice rejection by ZATCA.

06 Subscription & Payment

  • Subscription fees are payable in advance.
  • All payments are non-refundable unless required by law.
  • Failure to pay may result in suspension or termination of services.
  • Prices may change with prior notice.

07 Trial Accounts

Trial accounts may include:

  • Limited features
  • Limited storage
  • Limited users
  • Limited duration

The Company may suspend or terminate trial accounts at any time.

08 Data Ownership

All business data entered into the Software remains the property of the Customer. The Company does not claim ownership of:

  • Customers
  • Suppliers
  • Inventory
  • Accounting records
  • Invoices
  • Purchase records
  • Financial reports

09 Data Security

We implement commercially reasonable security measures including:

  • SSL encryption
  • Secure cloud infrastructure
  • Access control
  • Database backup
  • Password protection

While we strive to protect customer data, no online system can guarantee absolute security.

10 Backup & Recovery

We perform regular backups to support business continuity. Customers are also encouraged to maintain their own copies of important financial records.

11 Service Availability

We aim for high system availability; however, temporary interruptions may occur due to:

  • Maintenance
  • Internet failures
  • Cloud infrastructure issues
  • Third-party services
  • Government systems including ZATCA

12 Software Updates

We may release:

  • Bug fixes
  • Security patches
  • New features
  • ZATCA compliance updates
  • Performance improvements

Updates may be applied automatically.

13 Third-Party Services

Our platform may integrate with:

  • Payment gateways
  • SMS providers
  • Email providers
  • Barcode scanners
  • Receipt printers
  • Accounting tools
  • ZATCA APIs

We are not responsible for interruptions caused by third-party services.

14 Prohibited Use

Users shall not:

  • Hack or attempt unauthorized access.
  • Reverse engineer the Software.
  • Share licenses illegally.
  • Upload malicious code.
  • Use the Software for unlawful purposes.
  • Interfere with other users or system operations.

Violation may result in immediate account suspension.

15 Intellectual Property

All Software, source code, logos, branding, documentation, and design remain the exclusive property of the Company. No license is granted except for the limited right to use the Software during an active subscription.

16 Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

  • Loss of profits
  • Business interruption
  • Loss of business opportunities
  • Data loss
  • Tax penalties
  • ZATCA penalties arising from incorrect customer data or misuse
  • Indirect, incidental, or consequential damages

17 ZATCA Disclaimer

Although our Software is developed to support ZATCA Phase 1 and Phase 2 requirements, compliance also depends on:

  • Accurate customer information
  • Proper system configuration
  • Valid digital certificates
  • Successful onboarding with ZATCA
  • Stable internet connectivity
  • Correct operational use by the Customer

The Customer remains responsible for meeting all applicable legal and tax obligations. ZATCA compliance requirements may change over time, and updates may be required.

18 Suspension & Termination

We may suspend or terminate accounts if:

  • Subscription fees remain unpaid.
  • Fraudulent activity is detected.
  • These Terms are violated.
  • Required by law or regulatory authorities.

19 Privacy

Customer information is handled in accordance with our Privacy Policy. We do not sell customer data to third parties.

20 Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet outages, cyberattacks, governmental actions, or failures of third-party infrastructure.

21 Governing Law

These Terms shall be governed by the laws and regulations of the Kingdom of Saudi Arabia. Any disputes shall be subject to the competent courts of Saudi Arabia.

22 Changes to Terms

We reserve the right to modify these Terms at any time. Updated versions will be published on our website, and continued use of the Software constitutes acceptance of the revised Terms.
